2. Purpose

These General Terms and Conditions of Sale and Use (“GTC”) define the conditions under which the Company provides the Aviris SaaS service, intended exclusively for professionals, enabling the collection and management of customer reviews.

Subscribing to the service implies unreserved acceptance of these Terms and Conditions.


3. Service Description

Aviris offers a platform that allows users to:

collecting customer reviews

the centralization of reviews from third-party platforms (Google, Facebook, etc.)

sending requests for feedback via email or SMS (depending on activated features)

online reputation analysis and management

The Company reserves the right to modify or develop the functionalities at any time.


4. Free trial period (3 days)

A free 3-day trial period is offered upon registration.

No fees are charged during this period.

The Customer can cancel at any time during the trial.

If the subscription is not cancelled, it will automatically become a paid subscription after 3 days.

This trial period is a commercial gesture and does not constitute a right of withdrawal.


5. Subscription and payment


5.1 Prices

Prices are listed on the Site and are exclusive of taxes.


5.2 Payment

Payment is due in advance for the chosen period.

Invoices are payable immediately.


5.3 Automatic Renewal

The subscription is automatically renewed for the same period, unless cancelled before the expiry date.


6. Termination


6.1 Termination by the customer

The Customer can cancel at any time from their customer area.

The cancellation takes effect at the end of the current subscription period. No refund is due for the period already paid for.


6.2 Termination by the Company

The Company may suspend or terminate access to the service in the event of:

non-payment

violation of these Terms and Conditions

fraudulent or abusive use

use contrary to applicable laws

No compensation or reimbursement will be due.


7. Customer Obligations

The Client agrees to:

provide accurate information

comply with applicable legislation (in particular GDPR and electronic marketing)

Do not send spam or abusive messages.

not to infringe on the rights of third parties

do not use the service for deceptive or fraudulent purposes

The Client is solely responsible for messages sent via the platform.


8. Third-party platforms

The service relies on third-party platforms.

The Company:

does not control these platforms

does not guarantee their availability or continuity

is not responsible for their content, policies or terms of use

The Client is responsible for complying with their terms and conditions.


9. Data and responsibility


9.1 Data Accuracy

The collected reviews come from third parties. The Company does not guarantee their accuracy, reliability or completeness.


9.2 Limitation of Liability

The Company shall not be liable for indirect damages, including but not limited to:

loss of revenue

loss of customers

damage to image

data loss

loss of business opportunities

In any event, the Company's total liability, for all causes combined, is expressly limited to the total amount excluding taxes paid by the Client for the Service during the last six (6) months preceding the occurrence of the damage.

This limitation does not apply in the event of gross negligence or willful misconduct by the Company, nor in the event of personal injury or any liability which cannot be legally excluded or limited.


10. Data and end of subscription

At the end of the subscription:

Access to the service is suspended

The data may be deleted without notice.

The Client is responsible for exporting their data before the end of the service.


11. Protection of personal data

The Company processes personal data in accordance with the General Data Protection Regulation (GDPR).

12. Intellectual Property

All elements of the Aviris service (software, interface, brand, content) are protected by intellectual property law.

Any unauthorized reproduction, modification or exploitation is prohibited.


13. Force majeure

The Company cannot be held liable in the event of force majeure as defined in Article 1218 of the Civil Code.


14. Amendment to the General Terms and Conditions of Sale

The Company reserves the right to modify these Terms and Conditions at any time.

The new terms and conditions will apply to subscriptions renewed after they come into effect.


15. Applicable Law and Jurisdiction

These Terms and Conditions are governed by French law.

Any dispute relating to their interpretation or execution falls under the exclusive jurisdiction of the courts of the district where the Company's registered office is located.
